Terms of Service

Effective date: April 9, 2026

These Terms of Service (“Terms”) govern your access to and use of RetailWatcher (“we,” “our,” or “us”), a software-as-a-service platform for retail inventory and profit management. By creating an account or using any part of the service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into contracts on behalf of yourself or the business you represent. By using RetailWatcher you represent that you meet these requirements.

2. Accounts

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at info@retailwatcher.app if you suspect unauthorized access. We reserve the right to suspend or terminate accounts that violate these Terms.

3. Subscription Plans & Payment

RetailWatcher offers three plans:

  • Starter (Free) — core features at no cost, subject to usage limits.
  • Pro ($39/month) — expanded features including invoice upload and email alerts.
  • Enterprise ($89.99/month) — full feature access including camera invoice scanning and SMS price alerts.

All paid plans are billed monthly in advance via Stripe. Prices are in US dollars and do not include applicable taxes. We reserve the right to change pricing with 30 days’ notice. Continued use after a price change constitutes acceptance of the new pricing.

4. Acceptable Use

You agree not to:

  • Use the service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Upload content that is fraudulent, defamatory, or infringes on third-party intellectual property rights.
  • Attempt to reverse-engineer, decompile, or extract source code from the platform.
  • Scrape, crawl, or use automated tools to access the service in ways not intended by us.
  • Share your account credentials with third parties outside your team, or resell access to the platform.
  • Upload malware, viruses, or other harmful code via invoice uploads or any other feature.

We reserve the right to remove content or suspend accounts that we determine, in our sole discretion, violate these rules.

5. AI-Powered Features

RetailWatcher uses Anthropic’s Claude AI to analyze invoice images and extract product data. By uploading invoices, you consent to this processing. Extracted data is used solely to populate your store’s purchase records. AI-extracted data may contain errors — you are responsible for reviewing and correcting any inaccuracies before relying on them for business decisions.

6. Team Members

You may invite team members to your store account under applicable plan limits. You are responsible for ensuring that team members comply with these Terms. Actions taken by team members under your account are your responsibility.

7. Your Data

You retain full ownership of all data you input into RetailWatcher, including product records, vendor information, purchase history, and uploaded invoices. We do not claim any ownership rights over your data. We process your data solely to provide the service as described in our Privacy Policy.

Upon account deletion or subscription cancellation, your data will be deleted from our systems within 30 days, except where we are required to retain it by law (e.g., financial records).

8. Intellectual Property

RetailWatcher and its underlying technology, branding, and content are owned by us and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to our intellectual property beyond the limited license to use the service as described.

9. Uptime & Service Availability

We aim for high availability but do not guarantee uninterrupted access. Scheduled maintenance, third-party outages, or events beyond our control may affect service availability. We are not liable for losses resulting from downtime.

10. Disclaimer of Warranties

The service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be error-free or that data (including AI-extracted invoice data) will be accurate.

11. Limitation of Liability

To the maximum extent permitted by law, RetailWatcher shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the service. Our total liability for any claim arising out of these Terms shall not exceed the amount you paid us in the three months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless RetailWatcher and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

You may cancel your subscription at any time through the Billing page. Cancellation takes effect at the end of the current billing period. We may suspend or terminate your access immediately for material violations of these Terms. Upon termination, your right to use the service ceases immediately.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes shall be resolved in the courts located in Delaware.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by displaying a notice in the app at least 14 days before the changes take effect. Continued use of the service after changes become effective constitutes your acceptance of the revised Terms.
